Anonim Şirket Yönetim Kurulu Üyelerinin Toplantı Dışında Bilgi Alma Hakkının Konusu

Abstract

Yönetim kurulu üyeleri şirkete karşı çeşitli hak ve borçlara sahiptir. Üyelerin bilgi edinme hakkı ise üyeler açısından hem hak hem de bir yükümlülüktür. TTK m. 392'de anonim şirket yönetim kurulu üyelerinin bilgi edinme hakkına yer verilmiş, bu hak toplantı içi ve dışı olmak üzere iki şekilde düzenlenmiş ve üyelerin toplantı içinde bilgi alması esas olarak kabul edilmiştir. Toplantı dışında bilgi talebi söz konusu ise, "işlerin gidişi ve münferit işler" hakkında bilgi talebinde bulunan üye başkandan izin almalıdır. İsviçre BK m. 715a'da ise sadece münferit işler konusundaki bilgi talepleri başkanın iznine tabi tutulmuştur. Türk ve İsviçre hukukunda konuya ilişkin düzenlemeler ile "işlerin gidişi/ münferit işler" kavramları çalışma kapsamında inceleme altına alınmıştır.

Board members have various rights and obligations to the company. Right to receive information of the members is both a right and an obligation for members. The article 392 of TCC is about the right to receive information of board members of joint stock company, and this right was organized in two ways; inside and outside meeting; and the receiving information inside meeting by members was accepted as a basis. In the case of a request for information outside the meeting, a member who requests to receive information about "run of business and individual affairs" shall obtain permission from the head member. As for the Article 715 of Swiss Code of Obligations, the information requests about disjunctive affairs are only subject to the permission of head member. With the regulations in Turkish and Swiss law related to this topic, the concepts of "run of business and individual affairs" are examined in scope of the study.
